Singapore company briefs: Roxy-Pacific Holdings, Yamada Green Resources, and Ntegrator International. 

Roxy-Pacific Holdings

A management-led group TKL & Family has issued the offering circular for its voluntary conditional general offer for all of Roxy-Pacific Holdings‘ shares, according to a filing to SGX Wednesday. The offer will close on 3 February.

Zico Capital, the independent financial advisor, gave its analysis of the offer: “We are of the opinion that the financial terms of the offer are, on balance, not fair but reasonable. Accordingly, we advise the independent directors to recommend that shareholders accept the offer.”

The advisor noted there is no alternative offer or proposal received by the company, and that the undertaking parties hold around 77 percent of Roxy-Pacific’s shares, making it “highly unlikely” another bid will emerge from a third party.

Yamada Green Resources

Yamada Green Resources said Wednesday the Zhangping municipal government has provided notice it plans to acquire the land and buildings owned by the company’s wholly owned subsidiary, Zhangping Fengwang Agricultural Products, located at Luoan Food Industrial Park Houfu Village in Fujian Province, China, for redevelopment planning.

Yamada Green Resources is a major supplier of shitake mushrooms.

Ntegrator International

Ntegrator International said Wednesday it entered an exclusive non-binding letter of intent with online watch store Watchismo to acquire certain domain names, including watches.com, the website content and traffic associated with the domain names, and the inventory of watches held by the seller. 

The purchase consideration, payable in three tranches, will be US$11 million, the filing said.
